DSM Fresh Foods Enters RTE/RTC Segment Through Ambrozia Acquisition

DSM Fresh Foods Limited, operating under the ZappFresh brand, has announced its strategic entry into India’s fast-growing Ready-to-Eat (RTE) and Ready-to-Cook (RTC) foods market with the acquisition of Ambrozia Frozen Food Partnership Firm. The deal, executed via a binding business transfer agreement through Avyom Foodtech Private Limited, marks DSM’s expansion beyond fresh foods into processed and frozen products.

Under the transaction, DSM acquires a 76% stake in Avyom through a primary cash infusion of ₹8 crore, while promoter Deepanshu Manchanda invests an additional ₹2 crore via a fresh issue (19% equity) and receives 5% sweat equity. The acquisition includes a 30,000 sq. ft. FSSAI-approved facility with automated production lines and in-house QA/QC labs, enabling both domestic scaling and export potential.

Ambrozia’s portfolio generated ₹13 crore in FY25, with an annualised run-rate of ₹16 crore. DSM plans to integrate the business with its cold-chain logistics and rebrand it under ZappFresh, aiming to boost throughput, margins, and long-term growth in the processed foods segment.
